1. Agreement to Terms

Permission is granted to temporarily access the materials (information or software) on ClearPath Web Solutions' website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or public display
  • Remove any copyright or proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by ClearPath Web Solutions at any time.

4. Client Responsibilities

When engaging our Services, you agree to:

  • Review and approve deliverables within agreed timeframes
  • Make timely payments according to agreed terms
  • Ensure you have rights to any content or materials you provide

  • A deposit may be required before work begins
  • Final payment is due upon completion or as specified in your agreement
  • Late payments may incur additional fees

6. Intellectual Property

Client-Provided Content

You retain ownership of all content, images, and materials you provide to us. By providing these materials, you grant us a license to use them for the purposes of completing your project.

Completed Work

Upon full payment, you will own the completed website design and content. However:

  • Third-party elements (fonts, stock images, plugins, etc.) remain under their respective licenses
  • We retain the right to use the work in our portfolio and promotional materials
  • We retain ownership of our development tools, frameworks, and reusable code

7. Revisions and Changes

Your service agreement will specify the number of included revisions. Additional revisions or changes outside the original scope may incur additional fees. We will provide clear notice before performing any work that would result in additional charges.

8. Timeline and Delays

We will make every effort to complete projects within the agreed timeline. However, timelines are estimates and may be affected by factors including client delays in providing materials or feedback, scope changes, technical issues, or unforeseen circumstances. We are not liable for delays caused by factors outside our reasonable control.

9. Hosting and Maintenance

If you use our hosting services:

  • We will make reasonable efforts to ensure uptime but do not guarantee 100% availability
  • We will perform regular backups but are not liable for data loss
  • You are responsible for backing up your own content
  • Hosting fees are recurring and must be paid on time to maintain service
  • We reserve the right to suspend services for non-payment

10. Warranties and Disclaimers

We warrant that our Services will be performed with reasonable care and skill. However:

  • We do not guarantee specific results, rankings, or traffic levels
  • We are not responsible for content you provide or your use of the website
  • We do not warrant that our Services will be uninterrupted or error-free
  • All Services are provided "as is" without warranties of any kind

11. Limitation of Liability

To the maximum extent permitted by law, ClearPath Web Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability shall not exceed the amount you paid us for the specific service giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless ClearPath Web Solutions from any claims, damages, liabilities, and expenses (including legal fees) arising from: (a) your use of our Services, (b) content you provide, (c) your violation of these Terms, or (d) your violation of any rights of another party.

13. Termination

Either party may terminate a service agreement under the following conditions:

  • Written notice as specified in your service agreement
  • Immediate termination for breach of these Terms
  • Non-payment of fees

Upon termination, you remain responsible for payment for all work completed. We will provide completed work upon receipt of full payment.

14. Third-Party Services

Our Services may integrate with or include third-party services, tools, or content. We are not responsible for third-party services and their use is subject to their own terms and conditions. You use third-party services at your own risk.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our Services shall be resolved in the courts of Nevada.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our website or Services after any modifications indicates your acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
